Gaijin Trade Policy
PLEASE READ THIS DOCUMENT CAREFULLY BEFORE ACCEPTING IT AND ENSURE THAT YOU ARE AT LEAST 18 YEARS OLD OR HAVE REACHED THE AGE OF MAJORITY IN YOUR JURISDICTION, WHICHEVER IS HIGHER, SINCE THE GAIJIN SERVICE(S) ARE NOT OFFERED TO USERS WHO HAVE NOT REACHED THIS AGE. BY ACCEPTING THIS POLICY AND USING THE SERVICE(S), YOU CONFIRM THAT YOU MEET THE AGE REQUIREMENT.
This Gaijin Trade Policy (“Trade Policy”) is a legal agreement between You (“User,” “you,” “your” in the EULA) and Gaijin (“we,” “us,” “our”) that is, Gaijin Network Ltd, a Cypriot company with registration number HE 312702 and registered office at: 63 Ifigeneias Street, Office 302, Strovolos 2003, Nicosia, Cyprus.
This Trade Policy is part of the Terms and Conditions as defined in the Terms of Service and governs your use of the Gaijin Marketplace (“Gaijin Marketplace”), including the purchase and sale of virtual items (“Objects”) through Gaijin’s Marketplace (as defined below) in our videogame(s) (“Game(s)”). Game(s) refers to any of the videogames, including downloadable content (DLC), expansions, updates, patches, and any other content published and/or licensed by Gaijin under an End User License Agreement (EULA) for use by Users on any platform (e.g., Windows, Xbox, PlayStation, iOS, Android, etc.) whether accessed by digital download, physical media, or other distribution methods., subject to your acceptance of Our Terms and Conditions.
Before purchasing or using any Object, you must read and accept this document and the other Terms and Conditions to understand how we provide our Service(s) and process your personal data.
The capitalized terms not defined here should be interpreted as outlined in the Terms of Service and EULA.
Language and Interpretation. The English version of this document is the official version. In case of any differences or disputes regarding interpretation, validity, or form, the English version shall prevail.
TERMS AND DEFINITIONS
For this Trade Policy, the following terms have the following meanings:
“Account” refers to the User's personal Gaijin Account.
“Agreement” refers to an Agreement between a Seller and a Buyer to transfer rights to use an Object.
“Buyer” refers to a User who acquires the rights to use an Object by agreeing to the Seller’s Offer through the Gaijin Marketplace.
“Coins” refers to the virtual currency used to purchase Objects. The number of Coins is shown in your Wallet. Coins cannot be exchanged for real money.
“Gaijin Marketplace” refers to the platform where Users can buy and sell virtual items (Objects).
“Object” refers to any digital in-game item within the Game(s), licensed under the End-User License Agreement (EULA), that is made available for purchase through the Gaijin Marketplace. This includes, but is not limited to, skins, vehicles, weapons, upgrades, and other virtual goods or Service(s) that Users can buy and sell via the Gaijin Marketplace.
“Offer” refers to a Seller’s offer to assign their rights to use an Object posted on Gaijin Marketplace.
“Seller” refers to a User who posts an Offer on the Gaijin Marketplace to transfer the rights to use an Object to another User through a completed Agreement. The Seller is responsible for providing accurate information about the Object and ensuring they have the legal right to sell it.
“Wallet” means a prepaid balance of Coins that you can use to purchase Objects in the Gaijin Marketplace. You can add funds to your Wallet using various available payment methods, and the funds will automatically be converted into Coins. For more information on the payment methods you can use, please visit the "Replenishment of the Gaijin Store Balance" Section on the Gaijin Support Platform.
1. GENERAL PROVISIONS
1.1. By using the Gaijin Marketplace, you authorize Gaijin to transfer Objects from your Account to the Buyer's Account upon the completion of a sale.
1.2. Gaijin may charge a fee for transactions on the Gaijin Marketplace, which will be disclosed to the User before completing the sale. The Buyer will be responsible for paying any fees.
1.3. You are responsible for any applicable taxes related to your transactions, including sales or use taxes, and for compliance with applicable tax laws. The proceeds from sales may be considered income for tax purposes, so we recommend consulting a tax specialist to understand your obligations.
1.4. Gaijin reserves the right to suspend or discontinue any transactions between the Buyer and Seller, change fees, or modify Gaijin Marketplace’s features at any time. Gaijin shall have no liability to the User for any inability to sell or purchase Objects due to changes in the terms, features, or eligibility requirements of Gaijin Marketplace or due to its discontinuation.
1.5. The User understands and acknowledges that Objects sold or purchased are licensed under the EULA. By acquiring an Object, the User acquires the right to access and use specific digital content, which is subject to in-game mechanics, balance settings, and other features that govern the behavior of a particular Object within the Game(s). These features may be modified over time. The User further acknowledges and agrees that any changes to the characteristics, design, or functionality of Objects should not be interpreted as changes to their performance, condition, or quality as outlined in this Trade Policy.
Additionally, the User confirms and acknowledges that Objects do not hold any cash or other material value, and Gaijin does not recognize any transfers of Objects made outside the Gaijin Marketplace.
1.6. Objects can be sold from the User’s Game(s) inventory or through other methods provided by Gaijin Marketplace. The Seller has the right to remove an Offer for any Object before another User purchases it. Once the Agreement is executed and the sold Object is transferred from the Seller’s Account to the Buyer’s, the transaction is final and cannot be canceled by either party.
1.7. Gaijin acts solely as an intermediary between the Seller and the Buyer and is not a party to the Offers or Agreements.
1.8. While Gaijin may assist with resolving disputes between the Seller and the Buyer, it is not obligated to do so. Gaijin does not control or guarantee (a) the existence, quality, safety, compliance, or legality of any Offers or Objects; (b) the reliability or accuracy of any Object’s descriptions. Gaijin does not endorse any Offers, Objects, Sellers, or Buyers. Any information about Users posted on the Gaijin Marketplace should not be interpreted as a recommendation or guarantee from Gaijin, particularly regarding the User’s reliability, safety, or the accuracy of such information. Users should always exercise caution when entering into Agreements.
1.9. The Seller is prohibited from transferring any Object obtained or acquired in violation of the EULA.
2. REQUIREMENTS FOR ACCESS TO GAIJIN MARKETPLACE
2.1. Gaijin may impose specific requirements and restrictions on using Gaijin Marketplace and its features, such as mandatory additional verification or reviewing the User’s history of completed and canceled transactions.
2.2. Gaijin is not responsible for the proper identification of Users. However, to ensure operational transparency and prevent fraud, Gaijin may request that the User provide identification documents or other relevant information or conduct additional checks to monitor the User's reputation.
2.3. A User may be restricted from accessing Gaijin Marketplace in the following cases:
- If the User fails to meet access requirements outlined in this Section of the Trade Policy;
- The User’s Account is limited due to violations such as spamming, phishing, or other prohibited actions or if the User’s Account is banned; and/or
- If Gaijin reasonably believes that the rights or legal interests of other Users may be violated in any way.
3. CREATION OF AN OFFER ON THE SERVICE(S)
3.1. When creating an Offer on Gaijin Marketplace, the Seller must: (a) provide complete and accurate information about the Object; (b) complete any required fields or provide any additional information requested by Gaijin; (c) confirm that they have the right to enter into the Agreement; (d) ensure that the Object is valid and can be used as described in the Offer.
3.2. The Seller sets the price for the rights to use an Object at their discretion. The price can be changed anytime before the Buyer accepts the Offer. Once the Agreement is concluded, the Seller cannot charge the Buyer more than the specified price in the Offer.
3.3. Gaijin does not create or control Offers. As such, Gaijin is not responsible for reviewing Offers or their content, any resources or links contained in the Offers, or verifying the reliability and identity of Sellers and Buyers. Consequently, Gaijin does not guarantee the quality, safety, legality, or accuracy of any Object or its description, nor the ability of either party to complete the Agreement.
3.4. If the Seller violates the Terms of Service, Trade Policy, or other applicable documents, Gaijin may block their ability to post Offers or conclude Agreements on the Gaijin Marketplace.
4. REQUEST TO PURCHASE
4.1. The User may request to purchase identical Objects, which are considered interchangeable. Once the request is submitted, the Object will be automatically selected and purchased for the User as soon as it becomes available at the specified price. If no Object is available at the requested price, the request will remain active until an Object at the desired price (or lower price) is listed on Gaijin’s Marketplace.
4.2. Gaijin Marketplace may limit the number of purchase requests a User can place, and these limits may be updated at any time. The Object will only be automatically selected and purchased if the User has enough funds in their Wallet.
4.3. If multiple Users have requested the same Object, the oldest request will be fulfilled first.
5. EXECUTION OF AGREEMENTS
5.1. Before concluding an Agreement, the User must review the terms and conditions of an Offer provided by the Seller on the Gaijin Marketplace.
5.2. By clicking the “Buy” button (or any similar button), the Buyer acknowledges and agrees to the terms and conditions of the Offer, thereby entering into the Agreement. At that point, the Agreement is considered concluded.
5.3. The Agreement is a bilateral contract between the Seller and the Buyer.
5.4. By entering into the Agreement, both the Seller and the Buyer confirm that (a) they have carefully read and understood these Trade Policy terms and fully understand the subject matter and conditions of the Agreement, and (b) that they fully understand the meaning and consequences of their actions in entering the Agreement.
5.5. Gaijin may place a transaction on hold if there is reasonable suspicion of potential fraud (e.g., if a User’s account is compromised). While the transaction is on hold, the User may cancel it. However, if the User initiated the transaction in bad faith and later withdraws it, Gaijin reserves the right to temporarily or permanently restrict the User’s ability to trade.
5.6. Once the Agreement is completed, the Buyer will receive all rights to the Object sold in that transaction, and the Seller will no longer retain any control or ownership over the Object.
6. PAYMENT
6.1. All transactions on Gaijin Marketplace are concluded using Coins and the Wallet. Coins cannot be transferred to another Wallet or bank account. Objects are non-refundable, except where otherwise specified in this Trade Policy or the Terms and Conditions, and cannot be sold, transferred, assigned, redeemed, or exchanged for cash.
6.2. Gaijin may charge a fee for sales on Gaijin Marketplace as detailed in Section 1.2 of the Trade Policy.
6.3. Personal data related to your transaction will be processed in accordance with our Privacy Policy.
7. PROHIBITED ACTIONS ON THE PLATFORM
7.1. By using or accessing the Gaijin Marketplace, the User agrees not to engage in or promote any of the following actions:
- Use of the Gaijin Marketplace in any manner not outlined in this Trade Policy or other applicable documents.
Offer Objects for sale without having the relevant rights to assign them;
- Demand, accept, or make any payment for an Object using methods not provided by Gaijin Marketplace or specified in this Trade Policy;
- Use automated tools such as robots, crawlers, bots, scrapers, or any other means to access, collect data, or gather content for any purpose;
- Avoid, bypass, delete, alter, or otherwise interfere with any technical measures Gaijin, its providers, or third parties use to protect Gaijin Marketplace;
- Use any software or hardware to circumvent the Service(s)’ functionality limitations to comply with applicable laws for Users accessing Gaijin Marketplace in specific territories;
- Engage in any actions that may harm, disrupt, or negatively affect the proper operation or performance of Gaijin Marketplace.
8. TERMINATION OF EULA OR GAIJIN ACCOUNT
8.1. Termination of your Gaijin Account, EULA, or Terms of Service will result in the loss of all Objects purchased or otherwise obtained, including any unused items. For detailed information on termination, please refer to Section 12 of the EULA and Section 3 of the Terms of Service.
9. MISCELLANEOUS
9.1. For any matters concerning the purchase, use, disposal of Objects or the of Gaijin Marketplace, not address in this Trade Policy, including but not limited to governing law and jurisdiction, warranty disclaimer, indemnification, update and modification, severability, assignment and termination, the relevant provisions of the Terms of Service and EULA shall apply.
